作為國際商事活動的一種重要形式，跨國并購己成為中美兩國合作的新領域，但是兩國企業間的并購并非一帆風順。導致并購難產的除了文化、商業因素外，還有政策、法律因素。國家安全審查依據國家主權至高性原理、借法律的外衣對商業并購進行政治層面的審查。本書介紹分析了美國的國家安全審查制度，并與中國相關法律制度進行比較，在理論分析的基礎上選取中海油一優尼科案、聯想一0bm案、凱雷一徐工案、可口可樂一匯源案等一些重要的并購案進行深入分析。

陳嬋婷，美國威斯康字大學麥迪遜分校法學博士，現為華東政法大學商學院教師，研究領域為國際貿易法、國際投資法和跨國并購的法律問題等。開設有國際商法、世界貿易組織、國際貿易經典案例等課程。
